By signing this document electronically, the Participant accepts and agrees to the following terms and conditions of this agreement with BlueGreen Infinity, LLC (“BlueGreen”): 1. PARTICIPANT IS AT LEAST 18 YEARS OLD AND IS LEGALLY ABLE TO ENTER INTO THIS AGREEMENT. If the Participant is a minor (a person under 18 years of age), the signature/permission supplied by the parent or legal guardian shall constitute on behalf of the minor a release and waiver of liability to the full extent set forth below. 2. PARTICIPANT UNDERSTANDS THAT THIS IS A LEGALLY BINDING AGREEMENT. 3. Participant understands by submitting a list of songs (“Song List”), or by submitting Participant’s recorded voice, dialogue, personal stories, commentary, and opinions (collectively, Participant’s “Commentary”) Participant is and hereby does assign (grant and sell) fully and irrevocably, all right, title and interest in the Song List and Commentary to BlueGreen, such that the Song List and Commentary become the sole and exclusive property of BlueGreen upon submission. In the event that such assignment does not or cannot occur, Participant hereby irrevocably grants an exclusive, worldwide, perpetual and royalty free license to BlueGreen to use, reproduce, modify, distribute and sell the Song List and Commentary and any part thereof in any manner and in its sole and absolute discretion. Participant hereby waives any and all claims of ownership of the Song List, Commentary, or any portion thereof, or rights therein or thereto, and Participant shall have no right to retract, amend or modify the same. Participant will not give to, sell, license, use, or allow the use of Participant’s Song List by any other person or entity. 4. Participant understands that the web pages and audio content found on www.ultimatecountdown.com and related domains and sub-domains thereof (the “Site”) and all text, applications, audio and/or video content (“Content”) found on the Site and/or hosted by third party distributors are all the sole property of BlueGreen and owned and operated by BlueGreen, an Ohio, United States company. 5. Participant understands that The Ultimate Countdown is a show featuring Participants’ all-time favorite songs (“Countdown Show”). Participant understands that the Countdown Show can be aired repeatedly, globally and forever on the Internet, radio, satellite, over-the-air TV, cable TV or other media. Participant understands that the Countdown Show can be recorded and distributed forever globally on CD, DVD, MP3, or any technology. BlueGreen may modify the recording and structure of the Countdown Show at its sole discretion at any time. 6. Participant agrees that the Song List is defined and ranked as noted in this form, with the #1 ranking being the Participant’s favorite song. 7. Participant agrees that BlueGreen is not liable for any damages, either direct or indirect, resulting from the broadcast or other use of Participant’s Song List, name or Commentary, and Participant hereby waives all claims against BlueGreen, its owners, employees, representatives, heirs, successors, and assigns arising therefrom. 8. Participant understands that BlueGreen may modify the Song List or Commentary in a way that may alter the nature or characteristics of both, and Participant agrees that BlueGreen may do so at its sole discretion. Participant acknowledges that this is done for entertainment purposes. Therefore, without limitation, Participant expressly waives any claims that Participant, heirs or assigns may that arise in the future out of BlueGreen’s use, reproduction, modification, publication, distribution or sale of the Song List or the Commentary, including but not limited to claims arising out of the laws of defamation, libel, slander, misappropriation of the right to publicity, false light, public disclosure of private facts, intrusion upon seclusion, or misrepresentation. 9. Participant hereby waives all rights to any and all revenue generated by BlueGreen as a result of the broadcast, use, distribution or sale of the Song List, Participant’s name or the Commentary. 10. Participant acknowledges that no prize has been offered as an inducement to enter this Agreement. By submitting a Song List or a Commentary, Participant understands that the Song List and Commentary will be judged subjectively. Participant understands that by making its submission, Participant is not entering into a lottery, sweepstakes, or the like, and therefore, the submission does not give the Participant a certain chance to “win” anything. Participant understands that BlueGreen may in its sole and absolute discretion, but is not obligated to, issue prizes to persons who make a submission to the Countdown Show. The frequency, value, and intended recipients of those prizes are at the sole and absolute discretion of BlueGreen, and may be denied, eliminated or varied by BlueGreen at any time for any or no reason. Prizes are not given as, and do not constitute, payment for Participant’s submission to the Countdown Show. 11. Participant consents to the use by BlueGreen of Participant’s Song List and any part thereof, Participant’s name and the Commentary in marketing and promotional materials, and to the sale of Participant’s Song List to any other party at the sole and absolute discretion of BlueGreen. Participant agrees that they are not entitled to any compensation or payment for or from any such sale, irrespective of any proceeds received by BlueGreen. 12. Selection of Song Lists for the Ultimate Countdown is based on a variety of factors which are at the sole discretion of BlueGreen. Participant hereby waives any and all claims relating to BlueGreen’s decision to select, or not select, Participant’s Song List. 13. Participant agrees to abide by all copyright notices, information, and restrictions contained in any Content or media accessed through the Site. 14. Participant agrees that they have voluntarily decided to submit their Song List and participate in a recording of the Countdown Show. Participant agrees that although Participant has submitted their favorite song list, Participant may not be selected to participate on the Countdown Show. Participant also agrees that even if Participant’s Countdown Show is recorded, BlueGreen may decide to not publish/air/broadcast the Countdown Show, and that it is BlueGreen’s sole discretion whether to record or publish/air/broadcast the Countdown Show, or remove it from broadcast at any time for any reason. Participant agrees that Participant’s Song List may not be selected for use on the Countdown for any reason. 15. The terms of this Agreement do not expire.
